Introduction

Welcome to CLAIR (Compliance Leaders for AI Responsibility), legal name CLAIR AI Governance Association / Association CLAIR de la gouvernance de l'IA. These Terms of Use ("Terms") govern your access to and use of the CLAIR website located at joinclair.com and complianceleaders.ai (the "Site") and your participation in the private CLAIR Slack community (the "Community"). The Site and Community are collectively referred to as the "Service."

By accessing, browsing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

The CLAIR Service & Membership

The CLAIR Service consists of a public-facing website and a private, invitation-only community for professionals in compliance, risk, legal, and related fields.

Membership in the private Community is not guaranteed. We require all prospective members to complete an application, and we reserve the right, in our sole discretion, to grant or deny membership to any individual.

Code of Conduct

Your participation in the Service, particularly the private Community, is subject to our Code of Conduct, which is incorporated by reference into these Terms. Any violation of the Code of Conduct will be considered a violation of these Terms and may result in the immediate termination of your membership and access to the Service.

User Content

You Own Your Content: You retain all ownership rights to the content you post, share, or submit to the Community ("User Content").
Our License to Your Content: By submitting User Content, you grant CLAIR and its sponsor, Rulebook.ai, a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content solely in connection with operating and promoting the CLAIR community. We are committed to protecting the confidentiality of your content and will not share your User Content without explicitly receiving your consent.
Your Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to post it and that it does not infringe on the rights of any third party.

Our Intellectual Property

All content, branding, and materials provided by us on the Service, including the CLAIR name, logo, website design, and any proprietary resources (e.g., playbooks, templates), are the exclusive property of CLAIR and/or Rulebook.ai and are protected by copyright, trademark, and other intellectual property laws. You may not use this content without our express prior written permission.

IMPORTANT DISCLAIMERS

Content Is Not Professional Advice: The content shared within the Service, including all User Content, is provided for informational and collaborative purposes only. It does not constitute legal, financial, investment, or any other form of professional advice. You should not rely on any information in the Community as a substitute for consulting with your own qualified professional advisors.
Service Provided "AS IS": The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or free of errors.

Limitation of Liability

NEITHER WE NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICES (OR OFFERINGS PURCHASED ON THE SERVICES) GIVING RISE TO THE CLAIM DURING THE 6 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the terms above may not apply to you, and you may have additional rights. In that case, these Terms only limit our responsibilities to the maximum extent permissible in your country of residence.

Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to the Service at any time, without notice, for any reason, including but not limited to your violation of these Terms or our Code of Conduct.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

Changes to These Terms

We may modify these Terms at any time. We will notify you of any material changes by posting the new Terms on the Site and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
